This section of the website is dedicated to all the documents related to the mandatory tender offer (the “Offer”), launched, pursuant to Article 102 and Article 106, paragraphs 1 and 3(a), of the Legislative Decree February 24, 1998, no. 58 (the “TUF”) by Hyster-Yale Capital Holding S.r.l.(the “Offeror”) on all the ordinary voting shares (the “Shares”) not owned, directly or indirectly, by the Offeror of Bolzoni S.p.A. (the “Issuer”).

The publication of the documents related to the Offer on the Issuer’s website is made for informational purposes only and does not constitute in any way a solicitation to the Issuer’s shareholders in order to tender to the Offer.

The Issuer accepts no responsibility to any third party for the truthfulness and the accuracy of the documents provided by the Offeror and published in this section of the website.

The Offer is made without distinction and on equal terms to all Issuer’s shareholders and it is launched exclusively in Italy, since the Shares are listed only on the Italian Stock Exchange (Mercato Telematico Azionario) organized and managed by Borsa Italiana S.p.A.

The Offer has not been and will not be launched nor disclosed by the Offeror in the United States of America or in any other territory under the jurisdiction of the United States of America (collectively, the “United States of America”) and it has not been and will not be made to any U.S. Person (as defined by the U.S. Securities Act of 1933, as amended), and it has not been and will not be launched in Canada, Japan, Australia and any other country, where such Offer is not permitted in absence of a specific authorization from the competent authorities or other requirements to be fulfilled by the Offeror (collectively, the “Other Countries”), nor using the postal service or any other means of communication or national or international trade (including, without limitation, by mail, fax, telex, e-mail, telephone and internet) of the United States of America or the Other Countries, or through any of the domestic regulated markets of the United States of America or the Other Countries, nor in any other way.

No copies of the document related to the Offer (the “Offer Document”), or portions thereof, or any copy of any subsequent document that the Offeror may issue in relation to the Offer, is being sent, nor shall it be sent or transmitted in any manner, or otherwise distributed, directly or indirectly, in the United States of America or in the Other Countries. No party receiving or having, in any manner, the aforesaid documents may distribute, send or transmit them (by mail or any other means or instrument, national or international, of communication or commerce).

Tendering to the Offer by persons having their residence in countries other than Italy may be subject to specific obligations or restrictions set forth by law or regulations. Therefore, it is the sole responsibility of the recipients of the Offer complying with such rules and before tendering to the Offer, they are responsible for determining whether such laws exist and are applicable by relying on their own consultants.

Tenders to the Offer resulting from solicitation activities performed in violation of the limitations described herein will not be accepted by the Offeror.
